1. Acceptance of Terms

By accessing or using Koli SA ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

Koli SA provides hackathon management and software marketplace services for the African innovation ecosystem. Our platform enables:

  • Hackathon organization, participation, and submission management
  • Team formation and collaboration
  • Software marketplace for hackathon-built products
  • Sponsor and mentor engagement
  • Notifications and communications
  • User authentication via email/password and OAuth providers (Google, GitHub)

3. User Accounts & Registration

To use certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any legitimate business purpose.

4. Acceptable Use Policy

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws or regulations
  • Infringing upon intellectual property rights of others
  • Submitting false, misleading, or fraudulent information
  • Harassing, threatening, or intimidating other users
  • Attempting to gain unauthorized access to our systems or accounts
  • Using automated scripts or bots to access the Platform
  • Uploading malicious code, viruses, or harmful software
  • Spamming or sending unsolicited communications through the Platform
  • Interfering with the proper functioning of the Platform or other users' experience
  • Reverse engineering or attempting to extract our source code

5. Hackathon & Marketplace Rules

Submissions

All hackathon submissions must be your original work. Plagiarism, cheating, or misrepresentation will result in immediate disqualification and potential account termination.

Intellectual Property

You retain ownership of your submissions. By participating, you grant us a non-exclusive, royalty-free license to display, promote, and archive your work on the Platform for platform purposes.

Marketplace

Products listed in the marketplace must comply with all applicable laws and respect third-party rights. We reserve the right to review, approve, or remove any marketplace listing at our discretion.

6. Termination

We may suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Engaging in fraudulent or harmful activities
  • Extended periods of inactivity
  • Any legitimate business reason at our sole discretion

Upon termination, your access to the Platform will cease, and your data may be deleted or retained in accordance with our data retention policy.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLI SA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Koli SA and its affiliates, officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Platform or violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under these terms will be resolved in the courts of South Africa.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Platform after changes constitutes acceptance of the new terms.
